1. Acceptance of terms
By accessing this website or using the services of ETS Logistics LLC (“ETS”, “we”, “us”), you agree to these Terms & Conditions. If you do not agree, please do not use the website or our services. If you sign a separate dispatch service agreement or trailer rental agreement with us, that agreement governs those services, and these terms apply to any matter the agreement does not address.
2. Our services
ETS provides truck dispatch services for car haulers, dry vans, flatbeds and step decks, reefers, hotshots and box trucks. These services include load sourcing, rate negotiation, broker setup, paperwork, invoicing support and 24/7 driver support. We also arrange dry van, flatbed and reefer trailer rentals. Full service details are on our Services page.
ETS acts as a dispatch service provider for carriers. We are not a freight broker, shipper or motor carrier, and we do not take possession of freight. Each load is contracted directly between your company and the broker or shipper.
3. Service delivery
- Our dispatch services are delivered remotely by phone, text message, email and online load boards. No physical products are shipped.
- Service begins once we have received your onboarding documents (MC/DOT authority, W-9 and certificate of insurance) and a signed dispatch service agreement. We then begin searching for and booking loads that you approve.
- Trailer rentals are handed over and returned at the location and times set out in your written rental agreement.
4. Carrier responsibilities
- Maintain active operating authority (MC/DOT), required insurance and all licenses and registrations for your equipment and operations.
- Comply with all applicable laws and regulations, including FMCSA and Department of Transportation rules, hours of service requirements and cargo securement rules.
- Provide accurate information about your equipment, availability and preferences.
- Make the final decision on every load. We will not book a load without your approval, and you are responsible for the safe transport of the freight you accept.
5. Fees, payments and currency
- Dispatch fees are either percentage-based or flat-rate, as agreed in writing in your dispatch service agreement before service begins.
- All fees are quoted and charged in U.S. dollars (USD).
- Invoices are due on the terms stated in your agreement or on the invoice. Every charge is itemized by load or service period.
- Card payments are processed securely by third-party payment processors such as Square or PayPal. We never see or store your full card number.
6. Refunds, cancellations and returns
Refunds are handled under our Refund Policy. Service cancellations and trailer returns are handled under our Return Policy. Both policies form part of these terms.
7. Communications
By giving us your contact details, you agree that we may contact you by phone, text message and email about your inquiry, your loads and our services. You can opt out of text messages at any time by replying STOP. See our Privacy Policy for details.
8. No guarantee of results
We work hard to find you high-paying, consistent freight, but freight markets change. We do not guarantee a specific number of loads, rates, revenue or earnings. Statistics shown on this website describe our past performance and are not a promise of future results.
9. Website use and intellectual property
All content on this website, including text, graphics, logos and images, belongs to ETS Logistics LLC or its licensors and is protected by law. You may not copy, reproduce or use it for commercial purposes without our written permission. You agree not to misuse the website, interfere with its operation or attempt to access it by unauthorized means.
10. Disclaimer of warranties
This website and its content are provided “as is” for general information. While we keep the information accurate and up to date, we make no warranty that the website will be uninterrupted or error-free.
11. Limitation of liability
To the fullest extent permitted by law, ETS is not liable for indirect, incidental, special or consequential damages, or for losses caused by brokers, shippers, receivers, weather, traffic, equipment failure or other events outside our reasonable control. Our total liability for any claim relating to our services is limited to the dispatch fees you paid to us for the specific load or service period that gave rise to the claim.
12. Indemnification
You agree to indemnify and hold harmless ETS and its owners, employees and agents from claims arising from your operation of equipment, your transport of freight, your violation of law or your breach of these terms.
13. Termination
Either party may end dispatch services as described in our Return Policy and your dispatch service agreement. We may suspend services immediately if a carrier's authority or insurance lapses, or in the case of unsafe or unlawful conduct. Fees for loads completed before termination remain payable.
14. Privacy
Your use of the website and our services is also governed by our Privacy Policy.
15. Governing law and disputes
These terms are governed by the laws of the State of Colorado, USA, without regard to conflict-of-law rules. If a dispute arises, please contact us first so we can try to resolve it informally. Any dispute that cannot be resolved informally will be handled in the state or federal courts located in Denver County, Colorado.
16. Severability and entire agreement
If any part of these terms is found unenforceable, the remaining parts stay in full effect. These terms, together with our policies and any signed agreement with us, form the entire agreement between you and ETS regarding their subject matter.
17. Changes to these terms
We may update these terms from time to time. Changes take effect when posted on this page with a new effective date. Continued use of the website or our services after a change means you accept the updated terms.
